1. About BoothHub
BoothHub ("we," "our," or "us") is an online platform that connects independent vendors ("Vendors") with event organizers, shop owners, and other opportunity hosts ("Hosts"). BoothHub is a connection and communication service only. We do not organize, operate, or manage any events, markets, consignment arrangements, or permanent retail spaces listed on the platform.
2. Acceptance of Terms
By creating an account or using BoothHub in any way, you agree to be bound by these Terms of Service. If you do not agree, please do not use the platform. We reserve the right to update these terms at any time. Continued use of BoothHub after changes constitutes acceptance of the updated terms.
3. BoothHub is a Connection Service
BoothHub provides tools for Vendors and Hosts to find each other, communicate, and manage applications. We are not a party to any agreement, transaction, or arrangement made between Vendors and Hosts. Any agreement entered into between a Vendor and a Host is solely between those parties. BoothHub has no responsibility for the performance, quality, safety, or legality of any event, product, service, or space listed on the platform.
4. No Liability for Business Outcomes
BoothHub expressly disclaims all liability for the business outcomes of Vendors or Hosts using the platform. This includes but is not limited to: lost revenue, event cancellations, no-shows, property damage, personal injury, disputes between Vendors and Hosts, failure to receive payment, or any other loss arising from use of the platform or participation in any opportunity found through BoothHub. Users assume full responsibility for their own business decisions, agreements, and outcomes.
5. User Responsibilities
Vendors are responsible for ensuring they have all required licenses, permits, insurance, and tax documentation required by applicable law. Hosts are responsible for ensuring their events, spaces, and listings comply with all applicable laws, permits, and regulations. Both parties are responsible for honoring any agreements made between them through the platform. BoothHub reserves the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or harmful behavior. Vendors acknowledge that profile information including product categories, product lists, photos, insurance documents, and other submitted content is self-reported and has not been independently verified by BoothHub. BoothHub makes no representations about the accuracy of user-submitted information.
6. Accuracy of Listings
Hosts are solely responsible for the accuracy of their opportunity listings, including but not limited to event dates, times, locations, booth fees, available spaces, and requirements. BoothHub does not verify listing accuracy and is not liable for any errors, omissions, or misleading information in any listing.
7. Payment Processing
BoothHub uses third-party payment processors, including Stripe, to facilitate transactions between Vendors and Hosts. While we make reasonable efforts to ensure accurate billing, errors may occasionally occur. In the event of a pricing or processing error identified by BoothHub, we will notify affected users and work to correct the error as promptly as possible. BoothHub's liability for any payment processing error is limited to the amount of the erroneous charge. BoothHub does not store credit card information and is not responsible for errors, failures, or security breaches caused by third-party payment processors.
8. Off-Site Payments
Any payments made directly between Vendors and Hosts outside of the BoothHub platform are solely the responsibility of those parties. BoothHub has no visibility into, and accepts no liability for, any transactions conducted outside the platform. Hosts who mark a Vendor as "paid off-site" represent that they have personally confirmed receipt of payment and agree that BoothHub bears no responsibility for any disputes arising from such transactions.
9. Match Score Disclaimer
BoothHub uses an algorithmic match score to suggest compatibility between Vendors and Hosts based on factors such as product categories, location, booth size, and profile completeness. Match scores are estimates only and do not guarantee acceptance, success, or suitability for any opportunity. BoothHub makes no representations about the accuracy or reliability of match scores, and scores may change over time as the algorithm is updated. Hosts are not required to accept or prioritize Vendors based on match scores, and Vendors should not rely solely on a match score when deciding whether to apply to an opportunity. Match score breakdowns are available to Pro subscribers and are provided for informational purposes only.
10. Intellectual Property
All content, design, code, and branding on BoothHub is owned by BoothHub and may not be reproduced without written permission. Users retain ownership of content they submit (profiles, photos, listings) and grant BoothHub a non-exclusive license to display that content on the platform.
11. Privacy
Your use of BoothHub is also governed by our Privacy Policy. By using BoothHub, you consent to the collection and use of your information as described therein. We do not sell your personal data to third parties.
12. Disclaimer of Warranties
BoothHub is provided "as is" without any warranty of any kind, express or implied. We do not guarantee that the platform will be available at all times, error-free, or that any particular outcome will result from use of the platform.
13. Limitation of Liability
To the maximum extent permitted by law, BoothHub's total liability to any user for any claim arising out of or related to these terms or use of the platform shall not exceed the amount paid by that user to BoothHub in the three months preceding the claim.
14. Governing Law
These terms are governed by the laws of the State of New Hampshire, United States, without regard to conflict of law principles.

16. Dispute Resolution
Users agree that any dispute arising between a Vendor and a Host through the BoothHub platform is solely between those parties. BoothHub is not an arbitrator, mediator, or party to any such dispute and has no obligation to intervene, investigate, or resolve disputes between users. BoothHub encourages users to resolve disputes directly and in good faith. In the event of a dispute between a user and BoothHub, the parties agree to first attempt resolution through good-faith negotiation before pursuing any legal remedy.
17. Event Cancellations
Hosts are solely responsible for notifying vendors of any event cancellation and for issuing any refunds owed to vendors in accordance with their stated refund policy. BoothHub will facilitate refunds processed through the platform where technically possible, but bears no liability for cancellations, postponements, or changes to events listed on the platform. Vendors assume the risk that events may be cancelled or modified after acceptance.
18. Account Termination
BoothHub reserves the right to suspend or permanently terminate any account at its sole discretion for violations of these Terms, fraudulent activity, chargebacks, abusive behavior, or any other conduct deemed harmful to the platform or its users. Upon termination, access to the platform will be revoked. BoothHub is not obligated to issue refunds for any subscription fees upon termination for cause. Users may terminate their own account at any time by contacting support@boothhub.events.
19. Indemnification
You agree to defend, indemnify, and hold harmless BoothHub, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the platform, your violation of these Terms, your violation of any third-party rights, or any dispute between you and another user of the platform. BoothHub reserves the right to assume exclusive defense of any matter subject to indemnification, at your expense.
20. Eligibility
By creating an account on BoothHub, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using BoothHub on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. BoothHub reserves the right to terminate accounts found to be in violation of this requirement.
